Service Terms
These Service Terms apply to paid services provided by DomainFX, including website services, website hosting, SEO, Google Ads, social media, analytics, reporting, website security, AI assisted work, automation and related online business services.
By accepting a quote, paying an invoice, approving work, providing instructions, continuing to use our services, or requesting further services after receiving these terms, you agree to these Service Terms.
These Service Terms apply to services provided from the effective date shown below, including ongoing work, support, maintenance, hosting, reporting, account management, website changes, advertising management and work relating to existing websites, accounts, campaigns or content.

1. About DomainFX
DomainFX provides website, hosting, digital marketing, SEO, advertising, automation and related online business services.
Unless otherwise agreed in writing, DomainFX provides services as an independent contractor and not as an employee, partner, agent, legal adviser, financial adviser, compliance adviser or internal business manager of the client.
2. Services covered
These Service Terms apply to services provided by DomainFX, including website design, website development, WordPress services, website hosting, domain and DNS assistance, website maintenance, website security, backups, performance optimisation, SEO, local SEO, Google Ads management, pay per click advertising, social media marketing, content marketing, conversion rate optimisation, analytics, conversion tracking, reporting, CRM and form integrations, chatbot services, live chat services, AI automation, AI assisted workflows, custom GPT or chatbot setup, digital strategy and related online business services.
Some services may be provided as one off projects, while others may be provided as ongoing monthly services, hosting services, support services or campaign management services.
3. Scope of work
DomainFX is responsible only for the services expressly agreed in writing, including in a quote, proposal, service plan, email agreement, invoice, project brief or written instruction accepted by DomainFX.
Any task, platform, account, legal review, compliance check, monitoring activity, technical responsibility, software responsibility, campaign responsibility or business outcome not expressly included is outside the scope of work.
If additional work is requested or required, DomainFX may provide a separate quote, estimate or written confirmation before performing that work.
4. Quotes, estimates and proposals
Quotes and proposals are based on the information available to DomainFX at the time they are prepared.
If the client provides incomplete, inaccurate or changed information, or if the scope changes, DomainFX may revise the quote, timeframe or service plan.
Unless otherwise stated, quotes do not include third party costs such as advertising spend, plugin licences, stock images, hosting costs, domain renewals, software subscriptions, API usage, paid tools, courier costs, printing costs or external contractor costs.
5. Client responsibilities
The client is responsible for providing accurate information, timely instructions, required access, approvals, passwords, account permissions, business details, legal details, product information, service details, pricing, offers and other material needed for DomainFX to perform the services.
The client is responsible for ensuring that any information, content, images, logos, claims, testimonials, offers, legal statements, business details or materials supplied to DomainFX are accurate, lawful and authorised for use.
DomainFX is entitled to rely on information, approvals and instructions provided by the client unless clearly advised otherwise in writing.
6. Approvals and instructions
The client is responsible for reviewing and approving work before publication, launch or use where review or approval is requested or reasonably expected.
Approval may be given by email, message, project management system, form submission, payment, verbal instruction later confirmed in writing, or continued use of the work after a reasonable opportunity to review it.
Where the client approves, supplies, requests or publishes content, campaign settings, website changes, business information, claims, images, designs or instructions, DomainFX may rely on that approval or instruction as accurate, authorised and suitable for the client’s business.
7. Legal, professional and industry compliance
DomainFX provides marketing, website, hosting, automation and technical services. DomainFX does not provide legal, financial, medical, accounting, tax, migration, professional conduct, regulatory or compliance advice.
The client is responsible for knowing, checking and complying with the legal, regulatory, professional, licensing, advertising, disclosure and industry requirements that apply to their business, website, marketing, advertising and online services.
This includes responsibility for any required licence numbers, registration numbers, professional memberships, liability scheme notices, industry disclaimers, mandatory disclosures, privacy notices, terms of trade, refund information, consumer notices, pricing disclosures, health warnings, financial disclaimers, legal advertising requirements or other compliance information that may need to appear on the client’s website, landing pages, advertisements, social media, email marketing or other business material.
DomainFX may assist with placing, formatting or updating compliance related content when the client supplies or approves that content. However, DomainFX is not responsible for identifying every legal, professional, licensing, disclosure or compliance requirement that may apply to the client’s business or industry.
The client is responsible for reviewing and approving all content, advertising material, landing pages, claims, legal statements, licence details, professional details, pricing, offers, guarantees, regulated industry information, factual information and business specific details before publication, campaign launch or use.
Where the client operates in a regulated industry, including law, finance, health, building, real estate, migration, education, insurance or similar industries, the client is responsible for ensuring that all content, campaigns, automations, workflows, website material and published material comply with applicable laws, professional obligations, industry rules and regulatory requirements.
The client should obtain advice from a suitably qualified professional if they are unsure what legal, licensing, disclosure, privacy, advertising or compliance information is required for their website, advertising or business material.
8. No guarantee of results
DomainFX may provide SEO, Google Ads management, pay per click support, social media marketing, content marketing, conversion optimisation, analytics, reporting and digital strategy services.
The client acknowledges that marketing performance depends on many factors outside DomainFX’s control, including search engines, advertising platforms, competitors, budgets, market demand, website quality, client approvals, offer strength, pricing, reviews, seasonality, tracking limits, platform changes and consumer behaviour.
DomainFX does not guarantee search rankings, traffic, impressions, clicks, leads, enquiries, bookings, sales, revenue, advertising approval, account approval, cost per click, cost per lead, conversion rates, social media reach, organic visibility, indexing, featured snippets, AI search visibility or any specific commercial outcome.
9. SEO services
SEO services may include keyword research, content recommendations, on page optimisation, technical SEO review, local SEO support, internal linking recommendations, content planning, reporting, structured data recommendations and other search visibility work.
Search engines control their own algorithms, indexing, rankings, search features, penalties, policies and display of results. DomainFX is not responsible for changes made by search engines, ranking fluctuations, indexing delays, algorithm updates, competitor activity, search result layout changes or changes in search demand.
SEO work does not guarantee any ranking, traffic level, lead volume, conversion rate or timeframe.
10. Google Ads and paid advertising
Google Ads, Meta Ads and other paid advertising services may include account setup, campaign setup, keyword research, ad copy, targeting, budget recommendations, landing page recommendations, conversion tracking, monitoring, optimisation and reporting.
Advertising platforms control their own auctions, approvals, disapprovals, policies, account restrictions, billing systems, targeting options, reporting systems and platform features.
The client is responsible for approving advertising budgets and paying advertising spend unless otherwise agreed in writing. Advertising spend is separate from DomainFX management fees.
DomainFX does not guarantee ad approval, account approval, click costs, lead costs, conversion volume, conversion quality, revenue, return on ad spend or any specific commercial outcome.
11. Social media and content services
Social media and content services may include post creation, scheduling, content drafting, image selection, campaign support, content ideas, captions, blog content, website content, email content or other marketing material.
The client is responsible for reviewing and approving content, claims, images, offers, factual statements and industry specific requirements before publication or use.
Social media platforms control their own reach, account access, content visibility, moderation, suspensions, advertising approvals, community rules and platform features.
12. Website design and development
Website design and development services may include page design, WordPress setup, theme configuration, plugin configuration, landing pages, content placement, design updates, performance work, forms, tracking, integrations and related website work.
Unless expressly agreed in writing, website work does not include custom software development, complex application development, legal compliance auditing, industry compliance auditing, licence verification, liability scheme review, privacy law review, accessibility certification, cybersecurity certification, professional advertising compliance review, penetration testing, copywriting, photography, videography, brand strategy, ongoing maintenance or checking whether the client has included every notice, licence number, disclosure or disclaimer required for their industry.
Websites may rely on third party themes, plugins, frameworks, APIs, hosting infrastructure, browsers, devices and external services. DomainFX is not responsible for third party software changes, browser changes, plugin conflicts, theme updates, API changes or platform decisions outside its reasonable control.
13. Website hosting
Where DomainFX provides website hosting, hosting services may rely on third party infrastructure, server software, data centres, internet connections, DNS providers, domain registrars, security tools, control panels, backup systems and other external systems.
DomainFX will take reasonable steps to provide reliable hosting, but does not guarantee uninterrupted availability, continuous access, error free operation, specific uptime, specific server response times, email deliverability, search performance, backup availability, recovery time or protection from every outage, attack, vulnerability, failure or third party issue unless expressly agreed in writing.
DomainFX may perform maintenance, migrations, updates, security changes, server changes or emergency actions where reasonably required to maintain, protect, restore or improve hosting services. Some temporary downtime, service interruption or functionality change may occur.
DomainFX may suspend, restrict or isolate a hosted website, email service or related account if it reasonably believes the service is compromised, infected, sending spam, consuming excessive resources, creating a security risk, breaching acceptable use requirements, affecting other clients or creating legal, technical or reputational risk.
14. Domains, DNS and email related services
DomainFX may assist with domain names, DNS records, email routing, website DNS, domain renewals, registrar changes or related technical settings.
The client is responsible for maintaining accurate domain ownership details, billing details, renewal details, account access and contact details unless otherwise agreed in writing.
DomainFX is not liable for loss caused by expired domain names, failed renewals, incorrect third party records, registrar issues, DNS propagation delays, client supplied access issues, email provider issues, spam filtering, blacklisting, platform restrictions or changes made by parties outside DomainFX’s control.
15. Backups, updates and website security
Where backups, updates, monitoring, scans, firewall configuration or website security services are included, they are provided as risk reduction measures and not as guarantees that a website, server, account, plugin, theme, database, file, email service or online system will be immune from failure, compromise, data loss, malware, unauthorised access or downtime.
Backup availability may depend on the hosting plan, server configuration, backup schedule, storage limits, software behaviour, plugin conflicts, malware activity, corrupted files, third party tools and the timing of the issue.
DomainFX does not guarantee that every file, database entry, email, order, form entry, analytics record, log or website change can be restored in every situation.
The client is responsible for using strong passwords, limiting unnecessary user access, keeping third party accounts secure, maintaining accurate contact details and promptly notifying DomainFX of suspected security issues, suspicious activity, errors or outages.
16. Analytics, tracking and reporting
Analytics, conversion tracking and reporting are provided on a best efforts basis. Tracking and reports may be affected by browser restrictions, ad blockers, cookie settings, privacy tools, consent banners, device settings, platform modelling, attribution windows, tag failures, account access limitations, API changes, third party outages and differences between reporting platforms.
DomainFX does not guarantee that every visit, click, enquiry, call, sale, form submission, conversion or user action will be tracked, attributed or reported perfectly.
Reports, dashboards and analytics data are provided for practical business and marketing use. They should not be treated as financial, legal, accounting or compliance records unless separately verified by the client’s relevant professional adviser.
17. Use of AI and automation
DomainFX may use artificial intelligence tools, automation tools, scripts, software agents, APIs and related technologies to assist with research, strategy, content drafting, SEO analysis, reporting, website updates, code generation, troubleshooting, campaign review, data processing, workflow automation and other services.
The client acknowledges that AI and automation can improve speed, efficiency and cost effectiveness, but these benefits involve practical limitations. AI tools and automated systems are not perfect and may produce inaccurate, incomplete, outdated, duplicated, biased, unsuitable or unexpected outputs. They may also misunderstand instructions, miss context, fail to identify issues or require human correction.
DomainFX will take reasonable steps to configure, supervise, review and test AI assisted work where appropriate for the nature of the task. However, the client accepts that AI assisted work may still require review, editing, testing, correction or rework, and that no AI assisted output, automation workflow, website change, content item, code change, report or recommendation can be guaranteed to be error free.
Where the client requests or accepts work to be performed using AI assisted tools or automation, the client accepts the ordinary risks and limitations associated with those tools, including the possibility of errors that may need to be corrected after review or use.
18. AI assisted access and changes
Some services may involve AI assisted tools, automation workflows, software agents or scripts that access, analyse, edit, update or interact with websites, content management systems, advertising accounts, analytics tools, documents, code, data, forms, CRMs or other platforms.
DomainFX will take reasonable steps to configure, supervise and review AI assisted access and changes. However, the client acknowledges that AI assisted tools and automation systems are not perfect and may misunderstand instructions, produce incorrect outputs, suggest unsuitable changes, fail to identify issues, or require human correction.
Where practical, DomainFX may use review, testing, backups, staging environments, version histories, approval steps or rollback options to reduce risk. The client accepts that no AI assisted system, automation process, website change, code change, content update or technical process can be guaranteed to be completely error free.
19. Manual only work
If the client does not want AI tools or automation used for a particular task, project or service, the client must advise DomainFX in writing before the work begins.
DomainFX may quote a different fee, timeframe or scope for manual only work, as manual review, research, drafting, implementation and testing may require additional time.
20. Third party platforms and tools
The client acknowledges that DomainFX services may rely on third party platforms, tools and infrastructure, including Google, Meta, WordPress, plugins, themes, hosting infrastructure, server software, data centres, domain registrars, DNS providers, CRMs, payment gateways, email systems, analytics tools, security tools, AI tools, APIs and other external services.
Third party platforms may change, fail, suspend access, reject content, change pricing, alter reporting, modify policies, remove features, change algorithms or affect performance.
DomainFX is not liable for loss caused by third party platform changes, outages, restrictions, suspensions, reporting differences, access issues, policy changes, pricing changes, API changes or technical failures outside DomainFX’s reasonable control.
21. Client supplied material
The client warrants that any content, images, logos, trademarks, claims, data, instructions, access credentials, account access or materials supplied to DomainFX are accurate, lawful and authorised for use.
The client indemnifies DomainFX against claims, losses, costs or expenses arising from client supplied material, client instructions, client approvals, inaccurate information, unlawful content or materials provided without proper rights or permissions.
22. Intellectual property
Unless otherwise agreed in writing, DomainFX retains ownership of its pre existing intellectual property, tools, processes, templates, code libraries, systems, know how, methods, internal documentation, automation workflows and reusable components.
Once the client has paid all amounts owing for a specific project or deliverable, the client receives the agreed rights to use the final deliverable for its intended business purpose.
Third party software, stock images, plugins, themes, fonts, APIs, SaaS tools and external assets remain subject to the relevant third party licence terms.
23. Confidentiality and privacy
DomainFX will take reasonable steps to keep client information confidential and to use client information only for the purpose of providing services, managing the client relationship, meeting legal obligations or improving business operations.
The client acknowledges that providing services may involve the use of third party tools, hosting providers, software platforms, AI tools, analytics platforms, CRMs, communication tools and other service providers.
Personal information is handled in accordance with DomainFX’s Privacy Policy where applicable.
24. Fees, invoices and payment
The client must pay invoices by the due date stated on the invoice or otherwise agreed in writing.
DomainFX may charge additional fees for work outside scope, urgent work, after hours work, emergency support, third party costs, licence fees, advertising spend, software subscriptions, API usage, external contractor work or other costs approved by the client.
Unless otherwise agreed in writing, monthly service fees, hosting fees, maintenance fees and management fees are payable in advance.
25. Overdue payments and suspension
DomainFX may pause or suspend services, support, reporting, advertising management, hosting, maintenance or project work where invoices are overdue.
DomainFX is not liable for loss arising from suspension, delay or reduced service caused by non payment, late payment, failed payment or billing issues.
The client remains responsible for all fees, third party charges and costs incurred before suspension or termination.
26. Delays
DomainFX is not liable for delays caused by late approvals, incomplete information, missing access, unavailable client staff, unpaid invoices, third party delays, platform outages, software issues, scope changes, delayed content, delayed feedback or circumstances outside DomainFX’s reasonable control.
If a project or service is delayed due to the client or a third party, DomainFX may revise timeframes, priorities, fees or availability.
27. Issue reporting and right to correct
The client must notify DomainFX of any suspected error, omission, defect, tracking issue, content issue, account issue, hosting issue, security issue or performance concern as soon as reasonably practicable after becoming aware of it.
DomainFX must be given a reasonable opportunity to investigate and correct the issue before the client engages a third party to remedy it or claims loss, except where urgent action is reasonably required to prevent immediate harm.
The client must take reasonable steps to reduce loss and must not allow an issue to continue unnecessarily without notifying DomainFX.
28. Limitation of liability
To the maximum extent permitted by law, DomainFX’s total liability for any claim arising from the services is limited to the fees paid by the client for the affected service during the six months immediately before the event giving rise to the claim.
Where a mandatory law gives the client rights that cannot be excluded, DomainFX’s liability is limited to the maximum extent permitted by that law.
Nothing in these terms excludes liability that cannot lawfully be excluded.
29. Exclusion of indirect loss
To the maximum extent permitted by law, DomainFX is not liable for indirect, consequential or special loss, including loss of profit, loss of revenue, loss of leads, loss of opportunity, reputational harm, business interruption, loss of goodwill, loss of expected savings or loss caused by delayed approvals, platform changes, third party failures or issues outside DomainFX’s reasonable control.
30. Force majeure
DomainFX is not liable for delay or failure caused by events outside its reasonable control, including natural disasters, power failures, internet failures, cyber attacks, platform outages, data centre issues, supplier failures, industrial action, government action, public health events, war, terrorism or other events beyond reasonable control.
31. Termination
Either party may terminate ongoing services by giving written notice unless a different notice period is agreed in writing.
DomainFX may terminate or suspend services immediately if the client does not pay invoices, misuses services, breaches these terms, creates legal or technical risk, acts abusively, or requires DomainFX to perform work that DomainFX reasonably considers unlawful, unethical, unsafe or outside its capabilities.
On termination, the client must pay all outstanding invoices, approved costs, third party costs and fees for work performed up to the termination date.
32. Handover
Where practical and subject to payment of all outstanding amounts, DomainFX may provide reasonable handover assistance, access details, available files or information needed for transition.
Handover work may be charged at DomainFX’s usual hourly rate unless included in an agreed service plan.
DomainFX is not required to provide unpaid support, proprietary internal tools, internal notes, reusable processes, automation workflows, source files, third party licences, confidential information or materials not included in the agreed deliverables.
33. Changes to these terms
DomainFX may update these Service Terms from time to time.
Where changes materially affect ongoing services, DomainFX will take reasonable steps to notify affected clients. Updated terms will apply to services provided after the stated effective date.
If the client continues to request, approve, pay for or use DomainFX services after the effective date, the updated terms will apply to ongoing services from that date.
34. Governing law
These terms are governed by the laws of Queensland, Australia. The parties submit to the jurisdiction of the courts of Queensland and any courts entitled to hear appeals from those courts.
